Terms and Conditions of Business

 

Definitions:

b) Client: Person/Persons/Organisation  - a customer who requires our services/goods offered

 

 

1. Terms

1.1 All orders are subject to our Terms and Conditions. Nothing in these terms affects your statutory rights as a customer

1.2 Any special terms must be agreed in writing with an authorised representative.

1.3 You are liable to pay for the price of the goods and services (and, if applicable, delivery) on or at any time after Amplus accepts your order.


2. Prices

2.1 The price quoted excludes VAT (unless otherwise stated).  VAT will be charged at the rate applying at the time of order. 

2.2 Amplus may by giving you notice at any time before delivery, adjust the price to reflect any increase in our costs of supplying the goods

2.3 Amplus will make every effort to supply the merchandise as detailed and at the prices stated but reserve the right to alter specifications or price where we are faced with unavoidable increases in raw materials or other costs.  Amplus will, of course, inform you in advance of any such alteration.

 

3. Payment Terms

3.1 Payment must be made pro-forma with any order. If an order exceeds £10,000 (ten thousand pounds) 50% must be paid with the order and the final 50% must be paid within 14 days of completion unless otherwise agreed in writing with an authorised representative. A penalty charge is applicable for late payments. 5% above the Lloyds TSB Bank Base Rate

3.2 If you fail to make payment as required Amplus reserve the right to suspend any future delivery of any order until payment is made in full.

3.3 For any payment made by cheque which subsequently is ‘referred to drawer’ an administration charge of £50 will become applicable.

 

4. Delivery

4.1 All delivery times quoted are estimates only and time of delivery shall not be of the essence.

4.2 You may not cancel if we receive your notice after the goods have been despatched and if you cancel the contract you can have no further claim against us under the contract.

4.3 If you accept the delivery of the goods after the estimated delivery time, it will be on the basis that you have no claim against us for delay (including indirect or consequential loss or any loss of profits, loss of business, depletion of good will or increase in the price of the goods).

4.4 We may decline to deliver if:

4.4a We believe that it would be unsafe, unlawful or unreasonably difficult to do so
4.4b The premises or access to them are unsuitable for our vehicle

4.5 The quantity of any consignment of goods as recorded by us upon despatch from our premises shall be conclusive evidence of the quantity received by you on delivery unless you can provide conclusive evidence proving the contrary.

4.6 Any liability we may incur for non delivery of goods shall be limited to replacing the goods within a reasonable time.

4.7 Amplus shall not be responsible for any delay due to causes beyond its reasonable control.  Delivery dates are quoted in good faith, but Amplus does not accept any liability for any direct or consequential loss due to delay in delivery. 

4.8 Where a delivery has been agreed but the customer is not present to receive or access is not given for delivery we reserve the right to charge the customer a penalty of £50 plus full charge for redelivery

4.9 Damage in Transit - Amplus will repair or replace free of charge goods damaged in transit, provided the carriers and/or Amplus receive written notice of such damage within 2 days of delivery.

 


5. Title

5.1 Until payment is made in full, all sums due to us and all goods supplied by us remain the property of Amplus.

5.2 Despite our retention of title to the goods, we have to take legal proceedings to recover the price of goods supplied should you not pay us by the due date.

5.3 You as the client have no authority to enter into any contract on our behalf or in our name.


6. Warranties

6.1 If you believe that we have delivered goods that are defective in materials or workmanship, you must inform us in writing within two days of delivery and allow us and or any third parties acting on our behalf to investigate if we so wish.

6.2 If the goods are found to be defective in material or workmanship following our investigations and you have complied with the above stated we will replace up to twelve months.

6.3 Amplus have no warranty (and, so far as permitted by law, exclude any warranty, term or condition that would otherwise be implied) as to the quality of the goods or their fitness for any purpose.


7. Specification

7.1 We reserve the right to:

Make any changes in the specification of our goods that are necessary to ensure they conform to any applicable safety or statutory requirements

To make without notice any minor modifications in our specifications we think necessary or desirable and to change the finish and design.


8. Return of goods

8.1 We will access the return of goods from you only.

8.2 Any goods being returned to us must be returned in the original packages and securely repacked otherwise we reserve the right to refuse refund/credit.


9. Waiver and variations

9.1 Any waiver or variation of these terms will not be binding unless it is made or recorded in writing and signed by both parties

9.2 If Amplus is unable to perform its obligations to you (or able to perform them only at unreasonable cost) because of circumstances beyond its control, Amplus may cancel or suspend any of its obligations to you, without liability. Examples of those circumstances are explosion, fire, flood, transport delays, strikes and other industrial disputes and difficulty in obtaining supplies.

 

10. Data Protection

10.1 We process personal information collected for the purpose of processing your orders and requests for products and information. Your details will not be passed onto any other agents, companies or organisation.

10.2 You have the right to apply for a copy of the information we hold about you (for which we make a small charge to cover cost of administration) and to have any inaccuracies corrected.

10.3 You shall at all times hold all information and data in your possession, in connection with any order or relating to our business affairs confidential

10.4 You shall not use, copy or divulge any such confidential information to any third party without prior written consent.

10.5 Upon termination of the Contract (for any reason whatsoever) you shall immediately destroy any such confidential information.

 

11. General

11.1 All brochures, catalogues and any other promotional materials, including all information and materials available on our website, are to be treated as illustrative only. Their contents form no part of any contract between us and you should not rely on them in entering into any contract with us.

11.2 Any contract made with Amplus is to be made in writing by someone who is an authorised representative.

 

12. Safety Compliance

All furniture supplied complies with UK safety standards.
Furniture and Furnishings Fire and Safety Regulations 1988 amended 1993
Electrical Equipment (Safety) Regulations 1994 and Plugs & Sockets (Safety) Regulations.
